Terms of Service

Magic Motion is a software service that transforms static product images uploaded by Merchants into short vertical (9:16) video ads using third-party artificial intelligence models. The Service includes:

• An image-to-video generation pipeline
• Optional post-processing (music, text overlays, QR code overlays)
• A Shopify integration to attach generated videos to product listings
• A hosted dashboard, video gallery, and account management

The Service depends on third-party AI providers (including fal.ai and Kling AI) whose availability, quality, and features may change without notice.

To use the Service, you must:

• Be at least 18 years old
• Operate a legitimate business and (if applicable) an active Shopify store
• Have the legal authority to bind that business to these Terms
• Comply with all laws applicable to your jurisdiction and industry

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at douglas@streetbasics.com if you suspect unauthorized use. We are not liable for losses caused by unauthorized access resulting from your failure to secure your credentials.

Token-based pricing. The Service uses a token system. Tokens are consumed when you generate videos. Current per-video token costs and token pack prices are listed on our Pricing page. We may revise pricing at any time; the price at the moment of purchase or generation controls that transaction.

Shopify Managed Billing. For Shopify Merchants, subscription and token pack charges are processed through Shopify Managed Billing. Charges appear on your Shopify invoice. Shopify's billing terms apply in addition to these Terms.

Tokens do not expire. Unused tokens remain in your account indefinitely, subject to your account remaining in good standing.

Our full refund policy is published at magic-motion.ai/what-to-expect. In summary:

• Automatic refunds: Tokens are automatically credited back if a generation fails due to content moderation blocks, verified system errors, or duplicate billing charges.
• Requested refunds: You may request a refund for any generated video within 30 days of generation via the "Request refund" button on the video's gallery tile. We review each request and respond within 24 business hours.
• Token pack refunds: Token pack purchases may be refunded within 7 days of purchase if you have used fewer than 10% of the tokens in the pack.

Refunds are issued in tokens (credited to your account) unless Shopify billing rules require a monetary refund on the original payment method.

You retain ownership. You retain all rights to the product images, text, and any other content you upload ("Your Content") and to the videos generated from Your Content.

You grant us a limited license. You grant Street Basics LLC a worldwide, non-exclusive, royalty-free license to store, process, transmit, and modify Your Content solely to provide the Service (including transmitting it to our third-party AI providers for processing) and to display it back to you in your dashboard, gallery, and Shopify integration.

You warrant that you have the rights. You represent that you own or have all necessary rights, licenses, and permissions to upload Your Content and to allow us to process it as described. You are solely responsible for ensuring that Your Content does not infringe any third party's copyright, trademark, publicity, privacy, or other rights.

The videos produced by the Service are generated by third-party AI models. AI output can be unpredictable and may include:

• Visual artifacts or motion glitches
• Deviations from the source image
• Interpretive elements that were not explicitly requested

We do not guarantee that any given generation will be usable or meet your expectations. Our refund policy (Section 5) is designed to address these cases. Review every video before publishing to your storefront or advertising platforms.

You agree NOT to use the Service to:

• Upload content depicting minors, non-consenting individuals, or anyone in a sexually explicit manner
• Generate deceptive or fraudulent advertising
• Impersonate any person or entity, or misrepresent your affiliation
• Infringe on third-party intellectual property, publicity, or privacy rights
• Generate content that promotes hate, violence, harassment, or illegal activity
• Reverse-engineer, scrape, or attempt to derive the source code of the Service
• Resell, sublicense, or white-label the Service without our prior written consent
• Interfere with the Service's operation, security, or other users' access

We may suspend or terminate your account without refund if you violate this Section, and we reserve the right to report unlawful activity to authorities.

The Service — including the Magic Motion brand, website, dashboard code, prompts, presets, documentation, and any original visual or audio assets we create — is owned by Street Basics LLC and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to our trademarks, trade dress, or brand elements without prior written consent.

The Service integrates with third-party providers including but not limited to:

• Shopify Inc. for the Shopify App, billing, and product/media API
• fal.ai / Kling AI for AI video generation
• OpenAI for image editing (when Replace Background is enabled)
• Railway for hosting and infrastructure

Your use of the Service may also be subject to the terms of these third parties. Service outages, quality changes, or feature deprecations caused by third parties are not our responsibility, although we will use commercially reasonable efforts to mitigate or work around them.

By you. You may terminate your use of the Service at any time by uninstalling the Shopify App and/or closing your account. Unused tokens are non-refundable upon voluntary termination except as required by Section 5.

By us. We may suspend or terminate your access immediately and without prior notice if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide reasonable notice for non-cause terminations (for example, if we discontinue the Service).

Effect of termination. Upon termination, your right to access the Service ends. We may retain data as described in our Privacy Policy and as required by law. Sections that by their nature should survive termination (including 6, 7, 9, 12, 13, 14, 15, and 16) will survive.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT AI-GENERATED VIDEOS WILL MEET YOUR REQUIREMENTS, THAT THE SERVICE WILL BE FREE OF BUGS OR INTERRUPTIONS, OR THAT DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STREET BASICS LLC, ITS OWNERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Street Basics LLC and its officers, employees, and agents from any claim, damage, loss, liability, cost, or expense (including reasonable attorney's fees) arising out of or related to (a) Your Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your violation of any third party's rights.

We respect intellectual property rights and comply with the Digital Millennium Copyright Act. If you believe content on the Service infringes your copyright, send a written notice containing the information required by 17 U.S.C. § 512(c)(3) to our designated agent:

We will respond to complete notices in accordance with the DMCA. Repeat infringers' accounts will be terminated.

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-laws principles. You and Street Basics LLC agree that any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction there.

We may modify these Terms from time to time. When we do, we will update the effective date at the top of this page and, for material changes, notify you via email or in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Entire agreement. These Terms, together with our Privacy Policy and What to Expect page, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
